Kroger Acquires Giant Eagle for $1.65 billion Deal

The Kroger Company and Giant Eagle, Inc. have announced a definitive agreement under which Kroger will acquire Giant Eagle. This agreement includes around $9 billion in annual sales and 197 supermarkets and 11 standalone pharmacies in northern Ohio, western Pennsylvania, West Virginia, Maryland and Indiana.

The total purchase amount will be $1.65 billion, including $1.25 billion in cash consideration and approximately $ 400 million in outstanding debts.

This deal aligns well with Kroger’s strategy for capital allocation and acquisitions so that the company can create value for customers, associates, and its shareholders. However,  Kroger’s board of directors has unanimously approved the deal. Greg Foran, Chief Executive Officer at Kroger, said, “Giant Eagle is a well-run, high-quality regional grocer with a strong reputation for fresh products, pharmacy, private label and customer loyalty”. 

Giant Eagle builds a store base, a loyalty program, a pharmacy business, and a private-label portfolio that offers a strong foundation for growth.

By combining this with Kroger’s e-commerce solutions, data and personalisation capabilities, and operating discipline, the company sees better opportunities to drive growth both in-store and online, enhance the customer experience, and create long-term value for shareholders.
