A major healthcare buyout is on the horizon as Warburg Pincus, teamed up with the Abu Dhabi Investment Authority (ADIA), nears a deal to acquire rare-disease pharmacy PANTHERx Rare. According to The Wall Street Journal, the transaction is valued at upwards of $7 billion, a figure that includes debt. Sources said the deal could be completed soon, but discussions are still ongoing and no final agreement has been reached yet. PANTHERx Rare is headquartered in Pittsburgh and works to help people with rare or orphan diseases by providing specialty medicines and patient care services. The company is currently owned by an investment consortium that includes General Atlantic, Nautic Partners and The Vistria Group. The company has changed owners before. Health insurer Centene bought PANTHERx in 2020 but sold it in 2022 as part of its plan to focus on its main health insurance business. The price of that sale was not disclosed. If completed, this would be one of the biggest healthcare buyouts of the year. It also shows that private equity firms are becoming more active in making large deals after a slower period. Many investment firms are looking for new opportunities as they work to grow their portfolios and prepare older investments for sale. Warburg Pincus Managers more than $100 billion in assets and has investments in several healthcare companies, including START Center for Cancer Research and Simtra BioPharma Solutions.
