Williams in Talks for $5.5 B for Momentum Midstream Deal

William companies is in advanced talks to acquire Momentum Midstream for around $5.5 billion from private company ⁠EnCap Flatrock Midstream. The deal is not finalized yet, but the negotiations are ongoing.

Both companies primarily own and operate pipelines and other infrastructure that transport natural gas from gas fields to power plants, factories, homes, and LNG (Liquefied Natural Gas).

Momentum owns pipelines in the Haynesville Shale region in Texas and Louisiana, which is one of the largest natural gas producing areas in the United States.

Williams had an eye for Momentum Midstream for a long time due to the surge in demand for natural gas as more LNG is being exported from the U.S., more electricity is needed for AI data centers and industries, and natural gas is still widely used to generate electricity.

By buying Momentum, Williams would own more pipelines, transport more natural gas, earn more fees from customers using those pipelines, and further strengthen its position in a fast-growing market.

The deal is set to be locked in at $5.5 billion, which is very large because pipelines generate steady income for many years. They are expensive and difficult to build, and obtaining permits for new pipelines is often challenging, so buying existing ones is a beneficial option.

Williams is only in talks. The companies could still change the terms or even decide not to proceed. Additionally, there has been no official announcement that the acquisition is complete. However, the negotiations are still at an advanced stage.
