SEC Proposes Rule Amendment to Add European Union Debt to Exempted Foreign Securities List

WASHINGTON — The Securities and Exchange Commission on Aug. 28, 2026, proposed amendments to Rule 3a12-8 under the Securities Exchange Act of 1934 to add debt obligations of the European Union to the list of foreign government debt obligations designated as exempted securities, according to an SEC agency release. The proposed change aims to permit the offer and sale of futures contracts on EU debt obligations to U.S. investors under federal securities laws.

Strategic Context

Rule 3a12-8 under the Securities Exchange Act of 1934 provides an exemption for certain foreign government debt obligations, designating them as exempted securities solely for the purpose of trading futures contracts on those debt instruments. Under existing rules, futures contracts on qualifying foreign government debt can be traded in the United States without triggering statutory registration provisions for the underlying securities, provided specific regulatory criteria are met.

The proposed amendment targets debt issued directly by the European Union. By expanding Rule 3a12-8 to cover EU debt obligations, the commission's proposal would align EU-issued sovereign-style debt instruments with the existing group of designated foreign sovereign debt obligations already permitted for U.S. futures transactions.

Forward Outlook

Following the formal publication of the proposal, the SEC will collect public comments on the regulatory modification. The agency will review submitted feedback prior to taking any final action on whether to adopt the amendment and enable trading eligibility for EU debt-based futures products in U.S. markets.
