IonQ Elisity Acquisition Earnout Pays for Partial Misses

The earnout in IonQ's all-stock Elisity deal pays a proportional share for missed revenue targets and counts February to July 2027 twice, while the targets stay redacted.

The earnout in IonQ's all-stock deal for Elisity does not work like a pass-or-fail test. The merger agreement's earnout exhibit pays Elisity's holders a proportional slice of each $75 million tranche for any revenue short of a target, and it counts the six months from February through July 2027 toward both tranches. The revenue targets themselves are blacked out.

What IonQ Agreed to Pay for Elisity

IonQ signed the agreement on Friday, October 9, 2026, announced it on Monday, October 12, and filed it with an 8-K on Tuesday, October 13. Elisity's holders get IonQ shares worth $1.15 billion at closing, less any leakage since July 31, 2026, plus up to $150 million more in shares tied to revenue. IonQ will also set aside $100 million of restricted stock units for Elisity staff, vesting over four years and paid on top of the deal price.

The share count uses IonQ's 20-day volume-weighted average price, not a single close, before closing, held inside a collar of $33.07 to $49.61. The deal can be terminated if it has not closed by Thursday, January 7, 2027. IonQ's release said it expects to close in the fourth quarter of 2026, and it values the deal at "up to $1.3 billion," a figure that leaves out the $100 million retention pool.

How the Elisity Earnout Actually Pays

Exhibit I to the agreement sets two measurement periods. The first runs from August 1, 2026 to July 31, 2027, and the second from February 1, 2027 to January 31, 2028. Each tranche pays $75 million times Elisity's revenue for that 12-month window divided by its target, capped at the target. If Elisity reaches half its first target, holders get $37.5 million in stock, by TradeFlock calculation.

A catch-up clause adds a second chance. If the first tranche falls short but revenue across the whole earnout period meets both targets combined, holders collect the missing part of the first $75 million. The total is capped at $150 million.

The overlap matters because the windows share six months. Revenue booked from February through July 2027 counts toward both tranches, so a strong stretch in that period helps twice. The exhibit also says the earnout reflects goodwill whose value "cannot reasonably be expected to be agreed upon" at closing.

The actual targets are not public. Both read "$[***]" in the filed exhibit, which IonQ redacted as not material and confidential. The release says only that Elisity has "a strong track record of doubling its revenue and its customer base year-over-year" and more than 100 customer deployments, with no dollar figure.

IonQ Shares, the Collar and Dilution

IonQ closed at $36.27 on Monday, October 12, down 9.1% from Friday's $39.89, according to Yahoo Finance closing prices. That leaves the stock about 9.7% above the $33.07 floor, a TradeFlock calculation. Below the floor, the share count stops rising and Elisity's holders absorb the drop.

The earnout and retention pool are priced at the same collared closing price. That fixes their share counts at closing, even though earnout shares may not be issued until 2028.

All share figures are TradeFlock calculations that ignore leakage. IonQ's second quarter 10-Q lists 381,002,314 shares outstanding as of July 29, 2026. Against that base, the floor case adds about 11.1% and the October 12 price about 10.1%. That count predates IonQ's July 31 closing of its SkyWater Technology purchase, which the 10-Q puts at about $1.8 billion, "including 24,135,775 shares of common stock and $741.3 million in cash consideration." On a pro forma base of about 405.1 million shares, the floor case adds about 10.4% and the October 12 price about 9.5%, TradeFlock calculates, before any other shares issued since July 31.

The same 10-Q shows $1.24 billion of cash, $883.2 million of short-term and $840.4 million of long-term investments at June 30, about $2.96 billion in total by TradeFlock sum, also before the $741.3 million SkyWater cash payment. Paying in stock leaves that cash untouched.

Where Elisity Fits in IonQ's Buying Spree

Elisity sells identity-based microsegmentation software by subscription, the agreement's revenue annex says. IonQ wants to pair that with its post-quantum cryptography and quantum key distribution products. Big tech has been buying quantum assets too, as with IBM's purchase of HRL. Security startups still draw rich prices, as TradeFlock noted when Kevin Mandia's Armadin raised money at a $2.5 billion valuation.

The shares will be issued privately under Section 4(a)(2) and Regulation D, the 8-K says, with a registration rights agreement to be signed at closing. Its resale terms will decide how fast Elisity's holders can sell.
